We encourage our investors to register for the bank transfer method of payment to help improve efficiency and reduce costs for issuing cheques. You can update your payment method and/or your address:

Recommended acquisition of Good Energy – Court Meeting and General Meeting on 13 March 2025

  • Online appointment of proxies – proxies may be appointed online by logging on to the following website: www.investorcentre.co.uk/eproxy and completing the authentication requirements. Shareholders will need to use their Control Number, Shareholder Reference Number and PIN, which is printed on the Form of Proxy (or for shareholders that were notified by email when the Scheme Document was published on the Company’s website, in that email dated 18 February 2025) to validate submission of their proxy online. Further details are set out in section 19 of Part 2 of the Scheme Document.
  • Electronic appointment of proxies through CREST – if you hold Good Energy Shares in uncertificated form through CREST and wish to appoint a proxy for the Meetings by using the CREST electronic proxy appointment service, you may do so by using the procedures described in the CREST Manual. Further details are set out in section 19 of Part 2 of the Scheme Document.
  • Sending Forms of Proxy by post or by hand – please complete and sign the Forms of Proxy (the blue Proxy Form for the Court Meeting and the white Proxy Form for the General Meeting) in accordance with the instructions printed on them and return them to the Receiving Agent, Computershare Investor Services PLC, either by post from within the UK in the pre-paid envelope provided or (during normal business hours only) by hand to Computershare Investor Services PLC, The Pavilions, Bridgwater Road, Bristol, BS13 8AE . Further details are set out in section 19 of Part 2 of the Scheme Document.
  • Registration for attendance at the Meetings in person– shareholders who wish to attend the Meetings in person will be able to do so but are asked to register their intention to attend as soon as possible, by emailing investor.relations@goodenergy.co.uk. Further details are set out in section 19 of Part 2 of the Scheme Document.

If you hold your Good Energy shares through a nominee or broker, you will need to instruct your nominee or broker how to vote your shares at the General Meeting and the Court Meeting. Your nominee or broker may set a deadline which is earlier than the general deadline for submission of Forms of Proxy, sometimes by up to one week.

Contact your nominee or broker with your voting instruction for each Meeting or for information on how to vote using their online messaging, by post, or ask to speak to the ‘corporate actions’ or ‘proxy voting’ department. Alternatively, your nominee or broker may be registered to allow you to appoint a proxy electronically via the Proxymity platform. The Company and the Registrar (Computershare) have agreed that institutional investors can appoint a proxy electronically via the Proxymity platform. Before you can appoint a proxy via this process you will need to have agreed to Proxymity’s associated terms and conditions. It is important that you read these carefully as you will be bound by them and they will govern the electronic appointment of your proxy. Good Energy Bonds

Good Energy Bonds II: 4.75% per annum payable in January and July each year.

Customer bonus interest will accrue at 0.25% per annum for each Bond year that you are a customer on 1 January, up to and including the Bond year in which Good Energy Bonds is repaid or redeemed.

Customer bonus is payable when Good Energy Bonds II are repaid or redeemed.

As a Good Energy customer bondholder you are entitled to receive an additional 0.25% per annum interest payment on maturity of the bonds for any year in which you are one of our valued customers on 1st January for the relevant year, whether you buy your energy from us or are a generator supported by us.

The good news is that it doesn’t have to be the bondholder who necessarily pays the bill – we have extended it so that you are entitled to the interest even if someone else in your household is the customer. You can let us know the Good Energy customer account number and name of the account holder by contacting us at bond.support@goodenergy.co.uk.

If you have lost your bond certificate, a replacement can be obtained through the completion and return of an Indemnity for the lost certificate. In most instances it is usual for an administration fee to be charged for the production of an Indemnity. Original certificates are cancelled when an Indemnity is raised to cover the risks associated with their loss so please ensure that you are certain that the certificate has been lost.

Please contact us at bond.support@goodenergy.co.uk if you would like us to request our Registrar, Computershare, send you a Letter of Indemnity. In order to issue a new certificate you will need to complete, sign and send this back to Computershare.

Good Energy makes interest payments on bonds net of a withholding tax at the basic rate of income tax, currently 20%. This is outlined in the terms and conditions of the Good Energy Bonds Invitation documents. Good Energy is required to make payments to every individual bondholder consistently in accordance with the terms and conditions. We regret that Good Energy cannot vary this on an individual basis.

Good Energy pays interest net of this withholding tax to Good Energy Bonds bondholders six monthly (within 15 business days of the interest payment date). The withheld tax on bond interest payments are paid to HMRC after each quarter end. HMRC should be able to answer any further questions you have relating to your personal tax reclaim and we encourage you speak with them to discuss your individual situation.

You can redeem your Bonds on the Repayment Date by providing at least six months’ notice before the Repayment Date.
