Exclusive Valued Customer SME Tariff for segmented Good Energy Business Feed-in Tariff Customers Terms and Conditions

BACKGROUND


A. Good Energy intends to make the Exclusive Valued Customer Tariff available to certain Eligible Applicants.
B. The Valued Customer Tariff is exclusive to Good Energy and not available through intermediaries or other third parties.
C. You have indicated that You wish to take advantage of this Exclusive Tariff.
D. This document supplements the terms and conditions entered into between You and Good Energy for the supply of electricity (the Terms of Supply) and sets out the additional terms applicable to this Exclusive Tariff.

AGREED TERMS


1. DEFINITIONS AND INTERPRETATION
1.1. The definition and interpretation provisions of the Terms of Supply shall apply equally to this document. Capitalised terms used but not defined in this document will have the same meaning as set out in the Terms of Supply.
1.2. The following capitalised terms shall have the meanings set out below:
Eligible Applicant means applicants within the Promotion Area who are existing Good Energy Business Feed-in Tariff (FiT) customers and who meet the Eligibility Criteria;
Eligibility Criteria means the criteria for eligibility for this Exclusive Tariff set out in Clauses 2.1 to 2.3 (inclusive);
Promotion Area means the geographic area comprising the mainland of the United Kingdom (excluding, for the avoidance of doubt, Northern Ireland, the Isle of Man and the Channel Island);
Exclusive Tariff means the tariff being offered which is 5% cheaper in price than our Good Energy SME Fixed Term tariff;
Promotion Period means the period commencing on the Promotion Start Date and ending on the earlier of (1) the date falling 12 months after You become a customer of Good Energy for the supply of electricity or (2) the date that Good Energy determines that any of the events or circumstances set out in Clause 2.8 has occurred;
Promotion Start Date means the date on which You start receiving electricity from Good Energy; and
SME Business Product means Good Energy’s product for the supply of electricity to its small and medium-sized business customers.
1.3. In the event of any inconsistency or contradiction between this document and the Terms of Supply, the terms of this document shall take precedence.

2. EXCLUSIVE VALUED CUSTOMER TARIFF TERMS
Eligibility and availability
2.1. This Exclusive Valued Customer Tariff is available to Eligible Applicants whose application for the Exclusive Tariff is made between 21 May 2018 and 31 December 2018. This Exclusive Tariff cannot be used in conjunction with any other offer or promotion. Good Energy reserves the right to decline any application for this Exclusive Tariff for any reason and to close this Exclusive Tariff to new applicants at any time and for any reason.
2.2. Without limiting the rights set out above, and subject to Clause 2.3, this Exclusive Tariff is only available to Eligible Applicants which:
2.2.1. have not previously been customers of the SME Business Product;
2.2.2. have agreed to take and continue to take a supply of electricity from Good Energy;
2.2.3. appoint Good Energy as their Feed-in Tariff licensee throughout the Promotional Period in respect of at least one installation.
2.3. This Exclusive Valued Customer Tariff is not available to customers:
2.3.1. who do not meet the requirements of Clause 2.2;
2.3.2. whose meter is de-energised (irrespective of whether the corresponding meter point administration number is recorded as energised or de-energised).
2.4. You must inform us if You no longer satisfy any of the Eligibility Criteria at any time.
Conditions
2.5. By applying for this Exclusive Valued Customer Tariff, You agree that, for the duration of the Promotion Period, You will:
2.5.1. establish and maintain a direct debit instruction at Your bank in favour of Good Energy in the amount notified to You by Good Energy (acting reasonably) from time to time;
2.5.2. submit accurate meter readings from Your electricity meter at least once in each consecutive period of three months from the date on which the Promotion Period starts either through Your online account or by such other electronic means as Good Energy may accept from time to time;
2.5.3. receive all invoices, statements and other communications from Good Energy by electronic means (including email); and
2.5.4. not de-appoint Good Energy as Your Feed-in Tariff licensee in respect of at least one installation.
Term and termination
2.6. The supplemental terms set out in this document will apply for the duration of the Promotion Period. If either You or Good Energy accrues rights under this document during the Promotion Period, those rights will survive the expiry of the Promotion Period or termination of these supplemental terms for any reason.
2.7. As long as You continue to meet the Eligibility Criteria and You satisfy the conditions set out in Clause 2.5, this Exclusive Tariff shall be applied.
2.8. If:
2.8.1. the Promotion Period ends;
2.8.2. You cease to satisfy the Eligibility Criteria;
2.8.3. You, or a third party acting on Your behalf, inform Good Energy that You wish to switch the supply of Your electricity to another energy supplier; or
2.8.4. You do not discharge the conditions set out in Clause 2.5 for the full Promotion Period,
Good Energy may notify you that the Promotion Period will come to an end and that the Exclusive Tariff shall no longer be applied, in which case Good Energy shall provide you with an amended Business Price Fix Schedule to reflect the revised the new charges.
2.9. Notwithstanding the termination of these supplemental terms or the Exclusive Tariff, the Terms of Supply shall remain in place in respect of all electricity that Good Energy supplies to You.

3. GENERAL SUPPLEMENTAL TERMS
3.1. By applying for the Exclusive Valued Customer Tariff, You agree to enter into a contractual relationship with Good Energy for the supply of electricity on the terms set out in the Terms of Supply and as supplemented in this document. By receiving supplies of electricity from Good Energy, You agree to be bound by the terms of the Terms of Supply and as supplemented in this document even if You have not signed them.
3.2. If You receive Your electricity supplies through related electricity meters, by applying for the Valued Customer Tariff You agree to Good Energy becoming the supplier for all electricity meters related to Your supply. Good Energy shall be entitled to charge You its standing charge (at the rate announced in relation to the Valued Customer Tariff) in respect of each related meter.
3.3. Save as necessary to give effect to the supplemental terms set out in this document, the provisions of the Terms of Supply shall remain in full force and effect.
3.4. Your agreement to this document shall not give rise to any right to terminate the Terms of Supply pursuant to Clause 10 of the Terms of Supply.
